Ethical business practices guide suppliers

Unum requires all entities providing goods or services to us – including vendors, service providers, and contractors (hereinafter referred to as “Suppliers”) – to operate with the highest integrity and adhere to strong ethical principles. This Ethical Business Practices Guide for Suppliers (“Guide”) outlines the minimum standards expected of Suppliers. It complements each Supplier’s own policies, legal obligations, and contractual agreements with Unum.

  1. Legal Compliance

Suppliers must fully comply with all applicable laws and regulations governing their operations. This includes adherence to relevant Indonesian laws, such as the Personal Data Protection Act (UU No. 27/2022), consumer protection laws, labor regulations, anti-corruption laws, tax obligations, and environmental statutes.

  1. Commitment to Labour and Human Rights

Unum is committed to upholding human rights and equitable labor standards. Suppliers must demonstrate the same commitment through policies and practices that uphold the dignity and rights of all workers.

  • Voluntary Labour: Suppliers must not engage in any form of forced labor, debt bondage, or human trafficking. Full compliance with anti-slavery laws in Indonesia is mandatory.
  • Fair Compensation and Working Conditions: Workers must be paid fairly and in accordance with prevailing wage laws and labor standards in Indonesia, including overtime, social security contributions, and benefits.
  • Respectful Workplace: A workplace free from harassment, discrimination, and abuse must be maintained. Hiring and employment practices should be based on merit, not gender, ethnicity, religion, or other protected characteristics.
  • Health and Safety: Suppliers are expected to provide a safe and healthy working environment in accordance with Indonesian occupational health and safety laws.
  1. Upholding Ethical Standards

Suppliers must act with honesty and fairness in all dealings with Unum and other parties.

  • Business Integrity: Any form of bribery, corruption, extortion, or facilitation payments is strictly prohibited. Suppliers must comply with Indonesia’s anti-corruption laws, including Law No. 31/1999 and its amendments.
  • Intellectual Property: Suppliers must protect Unum’s intellectual property and not use its trademarks, brand assets, or proprietary content without explicit written consent.
  • Data Protection and Security: If Suppliers handle any personal data or confidential information from or on behalf of Unum, they must comply with UU No. 27/2022 (PDP Law) and related implementing regulations. Strong technical and organizational safeguards must be implemented to protect data.
  • Financial Records: Suppliers must maintain honest, accurate, and complete records of all transactions and business operations.
  • Gifts and Hospitality: Any gift or benefit offered to Unum personnel must be modest in nature and must not influence, or appear to influence, business decisions.
  • Conflicts of Interest: Suppliers are expected to promptly disclose any actual or potential conflicts of interest, such as personal relationships with Unum personnel that could impact decision-making.
  1. Environmental Responsibility

Unum supports sustainable practices and expects Suppliers to:

  • Minimize their environmental footprint by reducing waste, emissions, and energy consumption.
  • Comply with Indonesian environmental protection regulations, including proper disposal of hazardous materials.
  • Promote policies that safeguard natural resources and prevent pollution.
  1. Confidential Information

Suppliers must protect all non-public and proprietary information received from Unum. “Confidential Information” includes business strategies, financial data, customer information, technical documents, and any data not generally available to the public. Disclosure is prohibited unless legally required under Indonesian law or explicitly authorized by Unum in writing.

  1. Raising Concerns

Suppliers are encouraged to report concerns, ethical issues, or potential violations of this Guide through the Unum Compliance Reporting Mechanism or to their designated Unum contact. All reports will be treated seriously and confidentially, and retaliation against whistleblowers who act in good faith is strictly prohibited.

  1. Enforcement and Review

Unum reserves the right to assess Supplier compliance with this Guide and may suspend or terminate business with any Supplier found in violation. This Guide is subject to periodic review, and updates will be communicated as needed.
